In a potential game-changer for Brazil’s airline industry, Azul Linhas Aéreas Brasileiras (Azul) and GOL Linhas Aéreas Inteligentes SA (GOL), owned by Abra Group, have signed a non-binding memorandum of understanding (MoU) to explore a merger. If finalized, this move would create Brazil’s largest airline by market share, surpassing LATAM Brasil and consolidating two major players under a single corporate structure.

A Strategic Alliance to Strengthen Market Position

The proposed merger aims to integrate Azul and GOL’s networks while retaining their distinct branding and separate Air Operator Certificates (AOCs). With approximately 90% of their routes being complementary rather than overlapping, the combination promises greater connectivity and operational synergies, enabling broader coverage across Brazil’s vast geography.

The newly formed airline group would operate a fleet of over 320 aircraft, including Azul’s Airbus A320neo, A330 family, Embraer E195s, and ATR 72-600s, alongside GOL’s Boeing 737 series. While this diverse fleet presents operational challenges, it could also provide greater flexibility in serving varied domestic and international routes.

Overcoming Financial and Regulatory Challenges

Both airlines have faced financial struggles, with GOL filing for Chapter 11 bankruptcy protection in early 2024 and Azul negotiating debt-for-equity swaps with lessors. The merger could offer GOL a financial lifeline, strengthening its position post-bankruptcy, which it expects to exit by May 2024.

Regulatory approval poses another significant hurdle. The merged entity would command nearly 60% of Brazil’s domestic market, raising concerns about competition. However, the airlines contend that strong national carriers exist in many global markets, citing Lufthansa’s dominance in Germany as a precedent.

Broader Implications for Global Airline Alliances

If completed, the merger would have a ripple effect beyond Brazil. GOL’s ties with American Airlines, Delta’s stake in LATAM, and United Airlines’ partnership with Azul could all be impacted. A consolidated Azul-GOL entity might seek deeper integration with an airline alliance such as oneworld or Star Alliance to reinforce its international presence.

Adding another layer of complexity, Brazil’s government has floated a more ambitious plan: a three-way merger of Azul, GOL, and LATAM Brasil. This would create a near-monopoly in the domestic aviation market, though such a move would likely face intense regulatory scrutiny and opposition from global airline groups.

A New Era for Brazilian Air Travel

With over 110 million domestic air journeys annually and surging post-pandemic demand, Brazil’s aviation sector is primed for transformation. The Azul-GOL merger represents an opportunity to optimize network efficiency, expand service reach, and enhance the financial health of both carriers.

John Rodgerson, CEO of Azul, underscored the significance of this potential consolidation:

“Azul was created to expand the Brazilian airline market by increasing access to air travel for Brazilians across the country. This combination will strengthen the sector, increase flight offerings, and improve connectivity across more than 200 cities in Brazil.”

As negotiations progress, industry stakeholders will closely monitor developments surrounding regulatory approvals and financial restructuring. If successful, the Azul-GOL merger could set a precedent for airline consolidation in Latin America, reshaping competition and connectivity for years to come.
